1. About these terms
These Terms & Conditions govern the use of this website and all business conducted with us through it. They apply to business-to-business transactions only.
In these terms, “we”, “us” and “our” means the seller, and “you” or the “Buyer” means the company, brand, distributor or other business entity placing an enquiry or order.

We are a manufacturer established in the People’s Republic of China. We are not registered for VAT in the European Union and we do not hold an EU economic operator registration or an EU EORI number. Where EU or UK market compliance requires an EU/UK Responsible Person, that role is appointed by you as the importer or brand owner; we supply the product documentation needed to support your registration (see section 9).
All prices quoted are exclusive of VAT, GST, sales tax, import duties, customs clearance charges and freight unless the proforma invoice states otherwise in writing.
3. Website content
Product information, colour representations, formulations and technical data on this website are provided for guidance. Screen colour rendering and batch-to-batch variation are inherent to gel products; the specification confirmed in writing for your order is the binding one.
4. Enquiries, quotations and prices
- This website does not process payments and does not constitute an offer. A quotation becomes binding only when we issue a written proforma invoice and you accept it.
- Quoted prices are valid for the period stated in the quotation and are subject to raw material and exchange rate movement thereafter.
- Minimum order quantity (MOQ) for standard items is 2 units per colour unless otherwise agreed. MOQ, packaging and labelling requirements for private-label orders are confirmed in writing per project.
- Prices exclude VAT, duties, taxes and freight (see section 2).
5. Samples and sampling
- Standard samples are typically produced within 7 working days of confirmation of the colour, formula and packaging.
- Sample and courier charges are confirmed before dispatch and may be credited against your first bulk order.
- Colour matching is approved against a physical sample or a signed-off reference; approved references become the standard for bulk production.
6. Orders, payment and lead time
- An order is confirmed when the proforma invoice is signed or otherwise accepted in writing and any agreed deposit is received.
- Payment method, deposit percentage and balance terms are those stated on the proforma invoice.
- Production lead time runs from the later of deposit receipt and final artwork approval, and is stated on the proforma invoice.
- Changes requested after production starts may affect lead time and price and must be agreed in writing.
7. Delivery, risk and title
- The trade term (Incoterms® 2020 rule) for each order is stated on the proforma invoice. Risk passes in accordance with that rule.
- Title to the goods remains with us until the purchase price has been paid in full.
- Delivery dates are estimates. We are not liable for delays caused by carriers, customs, force majeure or information you supply late.
- Import clearance, duties and taxes are the Buyer’s responsibility (see section 2).
8. Inspection and quality claims
Please inspect goods on arrival. Claims for shortage, transit damage or visible defect must be raised within 7 days of receipt; claims for latent quality defects within 30 days of receipt. Our quality commitment, including free replacement or return, is set out in the Shipping & Returns policy.
9. Compliance documentation
- We provide the documentation required for the markets we serve, which may include SDS (Safety Data Sheet), COA (Certificate of Analysis), product ingredient listings, and support for CPSR documentation and CPNP notification for the EU market.
- Responsibility for appointing an EU/UK Responsible Person, for CPNP notification and for labelling compliance in the destination market rests with the Buyer as importer or brand owner, unless a different allocation is agreed in writing.
- Cosmetic claims made in your own marketing are your responsibility.
10. OEM / private label and intellectual property
- You warrant that artwork, logos and brand elements you supply are owned by you or licensed to you, and that their use does not infringe any third-party right.
- We may use formulations developed jointly with you only for your orders, and you may not resell our formulations as raw material.
- We may show non-confidential packaging produced for you in our portfolio only with your written consent.
11. Warranty and limitation of liability
We warrant that goods conform to the specification confirmed in writing for your order. Our obligation for non-conforming goods is limited, at your choice, to replacement or to refund/credit as described in the Shipping & Returns policy.
To the maximum extent permitted by law, our total liability arising out of an order is limited to the value of that order. We are not liable for indirect or consequential loss, loss of profit, or loss arising from storage, application or use that does not follow the product instructions and SDS. Nothing here limits liability that cannot be limited by law.
12. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, epidemic, government action, customs or transport disruption, or raw material shortage. We will notify you and agree a revised schedule or cancel the affected part of the order.
13. Confidentiality
Formulations, pricing, artwork and commercial terms exchanged between us are confidential and are not disclosed to third parties except as required to perform the order or by law.
14. Governing law and disputes
These terms are governed by the laws of the People’s Republic of China. The parties will first try to resolve any dispute by negotiation; if no agreement is reached within 30 days, the dispute is submitted to the competent court in Guangzhou, Guangdong, People’s Republic of China, unless a different forum is agreed in writing.
15. Changes
We may amend these terms. The version published on this page applies from the “last updated” date shown above. Terms already accepted in a signed proforma invoice are not changed retroactively.
